EXIT INTERVIEW & CONDUCT AGREEMENT

1. Acknowledgment of Departure

The Departing Individual acknowledges that their engagement with Lakefront Pictures has concluded as of the date of this agreement and that all access to internal systems, communication channels, email accounts, and confidential files shall be terminated upon completion of this form.

2. Confidentiality and NDA Compliance

   1. The Departing Individual reaffirms their obligation to fully comply with any previously signed Non-Disclosure Agreement (NDA) and acknowledges that all terms remain in full force beyond the termination of their involvement with the Company. This includes, but is not limited to, keeping confidential:

      1. Business plans, strategies, and internal communications

      2. Client lists and vendor information

      3. Scripts, intellectual property, footage, or media

      4. Budgetary, legal, or operational documents

      5. Intern training methods and internal platforms

      6. No confidential or proprietary information may be disclosed to third parties, replicated, or used for personal or professional gain outside the scope of any written permissions.

3. Non-Disparagement & Professional Conduct

   1. The Departing Individual agrees not to:

      1. Discourage or sway current or potential interns, clients, collaborators, or partners from working with the Company

      2. Spread or encourage any form of slander, defamation, or negative commentary, publicly or privately

      3. Interfere with the Company’s business relationships or attempt to recruit Lakefront Pictures’ clients, interns, or staff for competing purposes

      4. Make misleading or harmful statements via email, text, or social media platforms

      5. This clause is binding both during and after their time with the Company.

4. Return of Company Property

The Departing Individual affirms that all Company property (shirts, equipment, footage, scripts, or other materials) has been returned or accounted for. If items are missing or damaged, the Company reserves the right to deduct value or seek repayment.

5. Legal Remedies

The Departing Individual understands that violation of this Agreement or the original NDA may result in legal action, including injunctions, financial restitution, and recovery of attorney fees.

6. No Admission of Liability

This Agreement does not imply any wrongdoing by either party. It serves to protect the professional reputation and legal integrity of Lakefront Pictures, LLC.

7. Governing Law

This Agreement shall be governed by the laws of the State of Illinois.

Acknowledgment and Signature

I, the undersigned, acknowledge that I have read, understood, and agree to all of the terms above. I reaffirm my obligation to the previously signed Non-Disclosure Agreement and understand that these terms survive the conclusion of my involvement with Lakefront Pictures.
